These terms govern all work undertaken by Driftwood Digital. By accepting a quote or estimate, commissioning work, or making any payment, you confirm that you have read and agreed to these terms.
1. About Driftwood Digital
Driftwood Digital is a sole trader brand strategy and social media consultancy operated by Drew Sproule, based in Devon, United Kingdom. References to "I", "me", and "my" throughout these terms refer to Drew Sproule trading as Driftwood Digital.

2. Scope of Work
The services to be provided are set out in the proposal, estimate, or written brief agreed between us. Any work outside that scope (including additional revisions, new content, revised strategy documents, or changed deliverables) will be quoted and agreed in writing before it proceeds.
I reserve the right to decline work that falls outside my expertise or that I consider unsuitable for any reason.
3. Estimates and Quotes
All estimates are provided in good faith based on the information available at the time. If the scope of a project materially changes (whether due to new information, client-driven revisions, or expanded requirements) I will issue a revised estimate before proceeding with additional work.
Quotes are valid for 30 days from the date of issue unless otherwise stated.
4. Fees and Payment
Fees are as set out in the relevant invoice or proposal. Unless otherwise agreed in writing, the following payment terms apply:
For project-based work, a deposit of 50% is due before work commences. The remaining balance is due upon delivery of final files or agreed deliverables. For retainer or ongoing work, invoices are issued at the start of each agreed period and are payable within 14 days.
Payment is accepted by bank transfer. Details are included on each invoice.
Late payments (beyond the agreed due date) may incur interest at 8% above the Bank of England base rate, in line with the Late Payment of Commercial Debts (Interest) Act 1998.
5. Revisions
Each project includes a defined number of revision rounds as specified in the proposal. Revisions are understood to mean reasonable amendments within the agreed scope and direction (not a change of brief or fundamental creative direction). If a change of direction is requested, this will be treated as additional work and quoted accordingly.
6. Client Responsibilities
To allow me to deliver work on time and to the standard expected, I ask that you provide all requested content, approvals, and feedback within the timelines agreed. Delays caused by late provision of materials or feedback may result in revised delivery dates and, where they impact my scheduling significantly, additional fees.
You confirm that all materials, images, copy, and other content supplied to me are either owned by you or that you hold the appropriate rights and licences to use them.
7. Intellectual Property
All creative work, strategy documents, frameworks, and deliverables remain the intellectual property of Driftwood Digital until payment has been received in full. Upon receipt of full payment, the agreed deliverables are assigned to you for the purposes outlined in the project brief.
I retain the right to use completed work in my portfolio, case studies, and promotional materials unless you request otherwise in writing before the project commences.
The Imprint Method™ and all associated frameworks, language, and documentation remain the exclusive intellectual property of Driftwood Digital at all times.
8. Confidentiality
I treat all information shared by clients as confidential. I will not disclose commercially sensitive information, strategy, or data to any third party without your consent, except where required by law.
If you require a formal non-disclosure agreement, please raise this before work commences.
9. Subcontractors and Third Parties
I may occasionally work with trusted third-party specialists (photographers, videographers, copywriters, developers) to deliver certain elements of a project. Where this applies, it will be noted in the proposal. I remain responsible for the quality and delivery of all work agreed under the original brief.
10. Third-Party Platforms and Services
Some projects may involve the use of third-party platforms (including but not limited to Meta, Squarespace, Canva, Claude AI or ChatGPT). I am not responsible for changes to the terms, features, pricing, or availability of any third-party platform. Any costs associated with third-party tools, advertising spend, or platform subscriptions are the responsibility of the client unless explicitly included in the project fee.
11. Cancellation
If you wish to cancel a project after work has commenced, the deposit is non-refundable. If work beyond the deposit stage has been completed, you will be invoiced for the proportion of work delivered at the agreed project rate, and this amount is due within 14 days.
If I need to withdraw from a project (which I would only do in exceptional circumstances) I will give reasonable notice and refund any fees paid for work not yet delivered.
12. Limitation of Liability
My total liability in connection with any project is limited to the fees paid for that specific project. I am not liable for any indirect, consequential, or economic loss arising from the services provided, including loss of business, revenue, reputation, or data.
I make every effort to ensure accuracy in all work delivered, but I cannot be held responsible for errors in materials supplied by the client or for decisions made by the client based on strategic advice.
13. Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to These Terms
I may update these terms from time to time. The version in force at the time a project is agreed applies to that project. The most current version is always available at driftwooddigital.co.uk/terms.
